1. Acceptance of Terms

By accessing or using AED Compliance Solutions ("Company," "we," "our," or "us") through aedsolutions.net (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not access or use the Platform.

These Terms apply to all users, including Service Providers and Clients (as defined below).

2. Description of Services

AED Compliance Solutions is a software platform designed to track Automated External Defibrillator (AED) asset information, including expiration dates, maintenance scheduling, and related compliance tracking.

The Platform provides administrative tracking tools only. It does not provide medical services, regulatory compliance services, inspection services, or maintenance services.

3. User Roles

3.1 Service Provider

A “Service Provider” is an individual or entity that:

  • Manages AED devices on behalf of Clients
  • Tracks expiration dates
  • Performs inspections and maintenance
  • Schedules and conducts service
  • Assumes compliance responsibility for Clients

Service Providers are fully and exclusively responsible for all compliance, maintenance, inspection, regulatory adherence, and operational readiness of AED devices under their management.

3.2 Client

A “Client” is an individual or entity that:

  • Owns or operates AED devices
  • Grants management access to a Service Provider
  • Uses the Platform to view AED status and schedule maintenance

Clients acknowledge that AED Compliance Solutions does not perform or guarantee maintenance or compliance services.

4. No Medical, Legal, or Compliance Advice

AED Compliance Solutions provides software tools only.

We:

  • Do not guarantee regulatory compliance
  • Do not ensure AED operational readiness
  • Do not provide legal advice
  • Do not provide medical advice
  • Do not perform inspections or maintenance
  • Do not verify data entered into the Platform

All compliance obligations are solely the responsibility of the Service Provider.

5. Transfer of Compliance and Liability

5.1 Service Provider Responsibility

The Service Provider expressly agrees that:

  • They are solely responsible for ensuring AED devices are compliant with all local, state, and federal laws and regulations.
  • They are solely responsible for inspection, maintenance, battery replacement, pad replacement, testing, documentation, and record keeping.
  • They assume all liability for failure to maintain AEDs.
  • They assume all liability for expired batteries, pads, or components.
  • They assume all liability for missed inspections or service intervals.
  • They assume all liability arising from device malfunction or failure.

AED Compliance Solutions bears no responsibility or liability for:

  • Expired AED components
  • Missed maintenance
  • Regulatory penalties
  • Fines
  • Lawsuits
  • Personal injury
  • Death
  • Property damage
  • Device failure
  • Incorrect data entry

5.2 Client Acknowledgment

Clients acknowledge and agree that:

  • Their designated Service Provider is solely responsible for compliance.
  • AED Compliance Solutions is not liable for any compliance failures.
  • The Platform is a tracking tool only.
  • The Company does not verify the accuracy of information entered by Service Providers.

6. No Warranties

The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

We disclaim all warranties, including but not limited to:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement
  • Accuracy
  • Reliability
  • Regulatory compliance

We do not warrant that:

  • Notifications will always be delivered
  • Alerts will be timely
  • The Platform will be error-free
  • Data will be accurate

7. Limitation of Liability

To the maximum extent permitted by law, AED Compliance Solutions shall not be liable for:

  • Direct damages
  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Special damages
  • Punitive damages
  • Loss of revenue
  • Loss of data
  • Personal injury
  • Death
  • Regulatory fines or penalties

Total liability, if any, shall not exceed the amount paid by the user in the twelve (12) months preceding the claim.

8. Indemnification

Service Providers agree to indemnify, defend, and hold harmless AED Compliance Solutions, its owners, officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Failure to maintain AEDs
  • Failure to comply with laws
  • Device malfunction
  • Injury or death
  • Regulatory violations
  • Client disputes

Clients agree to indemnify the Company for any claims arising from their use of the Platform.

9. Subscription and Payment Terms

9.1 Subscription Billing

Access to the Platform is provided on a subscription basis.

Subscriptions automatically renew at the end of each billing cycle unless canceled prior to renewal.

9.2 No Refund Policy

ALL SUBSCRIPTION PAYMENTS ARE FINAL.

No refunds will be provided under any circumstances, including but not limited to:

  • Partial subscription periods
  • Failure to use the Platform
  • Account inactivity
  • Cancellation after renewal
  • Dissatisfaction with the service

No exceptions.

9.3 Cancellation Policy

You must cancel your subscription before the renewal date to avoid being charged for the next billing cycle.

Cancellation requests must be submitted prior to renewal through your account or by contacting info@aedsolutions.net.

Failure to cancel before renewal will result in full charge for the next subscription period, and no refunds will be issued.

10. Account Responsibility

Users are responsible for:

  • Maintaining confidentiality of login credentials
  • Accuracy of all data entered
  • Ensuring proper assignment of Service Providers
  • Monitoring expiration dates

AED Compliance Solutions is not responsible for user data entry errors.

11. Data Accuracy

The Platform relies entirely on user-entered data.

We do not verify:

  • Device serial numbers
  • Expiration dates
  • Inspection records
  • Maintenance logs

All data accuracy responsibility lies with the Service Provider.

12. Termination

We reserve the right to suspend or terminate accounts for:

  • Violation of these Terms
  • Non-payment
  • Fraudulent activity
  • Misuse of the Platform

Termination does not relieve Service Providers of compliance obligations.

13. Governing Law

These Terms shall be governed by the laws of the applicable jurisdiction in which AED Compliance Solutions operates, without regard to conflict of law principles.

14. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
